§ 1 Provider and scope

(1) The provider is Karley Deutschland GmbH, Herner Str. 15b, 45657 Recklinghausen, Germany, represented by managing director Karsten Ley, Recklinghausen Local Court HRB 5605, VAT ID DE251382615 (referred to as "Karley").

(2) These terms of use apply to all instances of the canprintweb order software requested through order.mach-mich.de. Contracting parties may be commercial market operators, as well as non-profit associations and private individuals without commercial intent — the latter exclusively through the free-of-charge path with a valid voucher code.

(3) Any deviating, conflicting, or supplementary terms of the operator do not become part of the contract unless Karley expressly agrees to them in writing.

§ 2 Services

(1) Karley operates a self-contained canprintweb instance for the operator on its own servers, under an address of the form <code>.mach-mich.de, for the period agreed in the application. The instance comprises: an order page for end customers (designing a motif from their own photo, ordering, and where applicable paying), a dashboard for the operator, a stand page for stand staff, and a print client for the stand PC (Windows).

(2) Not included in the service are: printers, consumables, the stand PC, internet access, and payment accounts. The operator provides these itself.

(3) canprintweb is not a cash-register system within the meaning of § 146a of the German Fiscal Code (AO), has no certified technical security device (TSE), and does not issue receipts when operated in "payment at the stand" mode. Cash payments are recorded and receipted by the operator using its own means.

(4) Karley continuously develops canprintweb further. The scope of functionality may therefore change, as long as the purpose of the contract — enabling orders of printed products at market and fair stands — is preserved.

§ 3 Operating modes

Karley offers three operating modes per instance:

  • "online": end customers pay via the operator's own Stripe or PayPal accounts; the money goes directly to the operator, and Karley never receives customer funds.
  • "payment at the stand": the price is only displayed to the end customer; the operator collects payment itself.
  • "free": exclusively for non-profit associations and private individuals without commercial intent — no prices, no payment.

§ 4 Formation of the contract

(1) The application submitted through order.mach-mich.de is an offer by the applicant. It only becomes effective once the applicant confirms the email address given in the application via the confirmation link sent to them.

(2) Karley accepts the offer by setting up the instance and sending the access credentials to the email address given in the application.

(3) Karley may decline applications without stating reasons, in particular where the free path (§ 3) is intended to be used for commercial purposes.

§ 5 Fees

(1) Market operators pay a commission at the percentage rate stated on the application page, calculated on the instance's gross revenue less refunds, invoiced per calendar week and due within 14 days. Payment provider fees (e.g. Stripe, PayPal) are borne by the operator.

(2) By way of exception to paragraph 1, Karley and the operator may agree an individual flat fee instead; in that case no percentage rate applies. In "payment at the stand" mode, only a flat fee is available.

(3) Non-profit associations and private individuals with a voucher code use canprintweb free of charge. The term is 10 days, including setup time; an extension requires prior agreement with Karley.

(4) All prices stated are net, plus statutory value-added tax where applicable.

§ 6 Operator obligations

The operator undertakes to:

  1. set up its own payment accounts (Stripe, PayPal, etc.) and verify their suitability itself;
  2. comply, at its own responsibility, with legal notice, price-labelling, tax, food, and trade-law requirements;
  3. keep its access credentials confidential, use two-factor authentication for the operator account, and manage staff accounts itself;
  4. not have unlawful content printed and instruct its end customers accordingly (in particular to respect third parties' copyright, personality, and trademark rights);
  5. report disruptions of the instance to Karley without undue delay;
  6. not circumvent technical protection measures, not perform load tests, and not reverse-engineer the print client.

§ 7 Data protection

For the personal data of the instance's end customers, the operator is the data controller within the meaning of the GDPR, and Karley is the processor. The data processing agreement under Art. 28 GDPR is made available to the operator within its instance (dashboard) and forms part of this contract; a separate signature is not required. Photos of end customers are automatically deleted after printing.

§ 8 Availability and support

Karley endeavors to provide high availability of the instance, without guaranteeing any particular level of availability. Maintenance is carried out outside usual market hours wherever possible. Support is provided by email at canprintweb@karley.eu. Remote access to the stand PC only takes place by prior arrangement with the operator.

§ 9 Term and termination

(1) The instance runs for the period agreed in the application. For associations and private individuals, it ends automatically once that period expires.

(2) The operator may terminate this contract at any time by email to canprintweb@karley.eu. Karley may suspend access or terminate the contract in the event of material breaches of these terms of use.

(3) After the market period ends, the order page displays "Market ended"; the instance is then archived and subsequently deleted. The operator should download its billing data (CSV export) and the data processing agreement before deletion.

(4) Private individuals may revoke the contract at any time, informally by email to canprintweb@karley.eu. Karley will then delete the free instance. As nothing was paid for the use, there is no refund either.

§ 10 Liability

(1) Karley is liable without limitation for intent and gross negligence, for injury to life, body, or health, and under the mandatory provisions of the German Product Liability Act.

(2) In all other cases, Karley is only liable for breach of a material contractual obligation (cardinal obligation), and liability is limited to the foreseeable, typical damage at the time the contract was concluded.

(3) Liability for print results, for printers and other hardware of the operator, for payment providers, for internet outages, and for lost profit is excluded to the extent permitted by law.

(4) For free use (§ 3, § 5 (3)), Karley is only liable for intent and gross negligence.

§ 11 Changes to these terms of use

Karley may amend these terms of use. Karley notifies the operator of changes by email at least four weeks before they take effect; the notice states that the changes are deemed accepted if the operator does not object before they take effect.

§ 12 Final provisions

(1) These terms are governed by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

(2) Where the operator is a merchant, the place of jurisdiction for all disputes arising out of or in connection with this contract is Recklinghausen, Germany.

(3) The language of the contract is German. Translations of these terms of use serve only to aid understanding and are not legally authoritative.

(4) Should any provision of these terms of use be or become invalid, the remaining provisions remain unaffected.
